2023 Constitution Update
The first item below is that presented at Special General Meeting held in conjunction with the 2023 AGM on 19 November. This version contains and identifies all the changes proposed to be made to the current constitution - both changes, additions and deletions. The clauses required by Inland Revenue to be included are highlighted in a separate colour to the other changes shown
The second item is the "clean copy" voted on at the SGM and then forwarded to the Companies Office after the resolution was pasted at the Special General Meeting
The third item is the reply to sending the updated HCBC 2023 Constitution - Acknowledged by Companies Office of receipt of the new update
The final item is the resolution presented at the SGM

2025 Constitution Update
A Special General Meeting was held at the Bridge Club-rooms prior to bridge starting on August 15th to seek approval from the members for the new constitution as required by the Incorporated Societies Act 2022. The quorum present was over twice the minimum number of 30 members required with the vote to approve the new Constitution passed unanimously.
Below are the parts of the new Constitution, notice of meeting, approval and associated files -
The first item below (1) is the copy presented at Special General Meeting. This version contains and identifies all the changes proposed to be made to the then current constitution - both changes, additions and deletions. The clauses required by Inland Revenue to be included are highlighted in a separate colour to the other changes shown.
The second item (2) is a "clean copy" ( as in item 1 without the identification of the changes ) voted on at the SGM. It has attached the confirmation from the Clubs Committee that the processes used to approve the changes met the club rules. This copy was then then forwarded to the Companies Office after the resolution was pasted at the Special General Meeting.
N.B. The Constitution shown to members in April / May 2025 was updated June 2025 to fix a small number of minor typo, spelling and layout errors, missing references to "Natural Justice" and missing words in Rule 53. In November 2025 page numbering was updated to correct an error in the page order.
The third item (3) are the additional files required to be used with the approved 2025 Constitution to facilitate its use without possible privacy concerns to members applying to be an officer of the club.
Item four (4) is the motion presented to the SGM to accept the new constitution.
The fifth item (5) is a Summary list of updates / additions / changes between the existing 2023 Constitution & the Clubs proposed 2025 Constitutions
Item six (6) is the Certificate of Incorporation for the Bridge Club from NZ Companies Office re-registering the Club under the 2022 Act.
